By accessing or using any part of the Audacion AI Labs website, creating an account, submitting observations, or participating in any of our programs, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
LEGAL DISCLAIMER: These Terms of Service have been drafted based on research of current U.S. federal and California state laws, CCPA/CPRA regulations, and best practices observed across leading AI safety research organizations. You should have these Terms reviewed by a licensed attorney before relying on them. Nothing in this document constitutes legal advice.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Audacion AI Labs, a Public Benefit Corporation organized under the laws of the State of Delaware ("Audacion AI Labs," "Company," "we," "us," or "our").
These Terms govern your access to and use of the Audacion AI Labs website located at audacionailabs.com (the "Website"), including all associated features, tools, content, and services offered through the Website (collectively, the "Services"). Services include, but are not limited to:

These Terms apply to all visitors, users, contributors, and anyone else who accesses the Website or Services.
2. About Audacion AI Labs
Audacion AI Labs is an independent AI safety research lab founded in 2026 by Dee Williams. The lab conducts applied research across five dimensions of post-deployment AI safety under the PRISM Research Framework: Post-Deployment Behavior (P), Runtime Research (R), Interaction Dynamics (I), Substrate Governance (S), and Multi-Agent Safety (M).
Audacion AI Labs operates as a Public Benefit Corporation. Our public benefit purpose is to advance the science of post-deployment AI safety through applied research, citizen science, and open publication of findings.
Audacion AI Labs is not an AI product company. We do not develop, sell, or deploy artificial intelligence models. We study how AI systems behave after deployment, in real working conditions, with real human collaboration, over time.
3. Eligibility and Account Registration
3.1 Minimum Age
You must be at least 18 years of age to create an account, submit observations, or use any interactive feature of the Services. If you are under 18, you may browse publicly available content on the Website but may not create an account or submit any data. We do not knowingly collect personal information from individuals under 18.
3.2 Account Creation
Certain features of the Services require you to create an account. When you create an account, you agree to:

Provide accurate, current, and complete information during registration

Maintain and promptly update your account information to keep it accurate and current

Maintain the security and confidentiality of your login credentials

Accept responsibility for all activities that occur under your account

You may not share your account credentials with any other person. You may not create more than one account. You may not create an account on behalf of another person without their explicit authorization. We reserve the right to suspend or terminate accounts that we reasonably believe violate these Terms.
3.3 Account Deletion
You may delete your account at any time from your Profile settings. Upon account deletion, all personal data associated with your account will be permanently deleted. Observations you submitted prior to account deletion will remain in the anonymized research dataset in de-identified form unless you request full removal by contacting [email protected] prior to or at the time of account deletion.
4. Use of the Services
4.1 Permitted Uses
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Services for their intended purposes, which include:

Creating and maintaining an account

4.2 Prohibited Uses
You agree not to use the Services in any manner that:

Submits false, fabricated, misleading, or intentionally inaccurate observations or data

Submits observations designed to manipulate research outcomes, skew datasets, or introduce bias

Attempts to re-identify de-identified or anonymized data or individuals in our research datasets

Uses automated scripts, bots, scrapers, or similar technology to access, collect, or extract data from the Website, except through authorized APIs (when available)

Interferes with, disrupts, or places an unreasonable burden on the Website, servers, or networks connected to the Services

Attempts to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services

Transmits any viruses, malware, worms, or other malicious code
-
Impersonates or misrepresents your affiliation with any person, organization, or entity

Uses the Services to harass, abuse, threaten, stalk, or intimidate any person

Collects or harvests personal information of other users

Uses the Services for any commercial purpose not expressly authorized by Audacion AI Labs, including selling access to research data, observations, or fellowship credentials

Circumvents, disables, or interferes with any security-related features of the Services

Reverse engineers, decompiles, or disassembles any portion of the Website or Services

Removes, alters, or obscures any copyright, trademark, or other proprietary notices
We reserve the right to investigate and take appropriate action against any person who violates these prohibitions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.
5. User Submissions and Observations
5.1 Observation Submissions
The core purpose of the Services includes enabling users to submit behavioral observations of AI systems through our observation tool. When you submit an observation, you represent and warrant that:

The observation reflects your genuine experience with an AI system

The observation is accurate and honest to the best of your knowledge

The observation does not contain personal information of any third party without their consent

You have the right to submit the observation and grant the licenses described in this section

The observation does not violate any applicable law, regulation, or third-party right
5.2 License to Use Submissions
By submitting an observation or any other content to Audacion AI Labs through the Services ("User Submissions"), you grant us a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Submissions in connection with:

The operation and improvement of the Services

Scientific research, analysis, and publication
-
The creation and maintenance of open-access research datasets
-
Academic publications, conference presentations, and research reports
-
Policy recommendations and public interest communications
This license continues even if you delete your account, because submitted observations are incorporated into anonymized, aggregate research datasets. Observations are de-identified before inclusion in any published dataset, meaning your name and personal details are removed so that no individual contributor can be identified from the published data.
5.3 No Compensation
You acknowledge and agree that User Submissions are made voluntarily and that you will not receive any compensation, payment, or consideration for your submissions. The PRISM Research Fellowship recognition tiers (Field Researcher, Senior Researcher, Expert Researcher, Fellow) are honorary designations reflecting your contribution level and do not constitute employment, paid positions, or contractual entitlements.
5.4 Accuracy and Integrity of Data
The integrity of our research depends on the honesty and accuracy of contributor submissions. We reserve the right to review, flag, or remove any submission that we reasonably believe is fabricated, duplicated, manipulated, or otherwise inconsistent with genuine observational data. Accounts associated with patterns of fraudulent submissions may be suspended or terminated.
6. Contributor IP Assignment
For purposes of this Section, "Contributions" means any content, data, text, narratives, prompts, responses, survey answers, annotations, labels, tags, categories, classifications, taxonomies, frameworks, concepts, feedback, suggestions, inventions, improvements, methods, documentation, or other materials that you submit, upload, post, transmit, or otherwise provide to or through the Services, whether directly or through any form, tool, interface, workflow, research activity, or collaborative feature made available by Audacion AI Labs.
By submitting any Contributions to or through the Services, you agree as follows:
6.1 Work Made for Hire
To the maximum extent permitted by applicable law, each Contribution is specially ordered or commissioned by Audacion AI Labs and will be deemed a work made for hire, with Audacion AI Labs deemed the author and exclusive owner of all right, title, and interest in and to the Contribution, including all intellectual property and proprietary rights therein.
6.2 Assignment of Rights
To the extent any Contribution, or any portion of any Contribution, does not qualify as a work made for hire or is otherwise not automatically owned by Audacion AI Labs, you hereby irrevocably assign, transfer, and convey to Audacion AI Labs, without further consideration, all right, title, and interest worldwide in and to that Contribution, including all copyrights, database rights, trade secret rights, know-how rights, trademark rights, patent rights, invention rights, and all other intellectual property and proprietary rights, together with all causes of action and rights to sue for past, present, and future infringement, misappropriation, or other violation.
6.3 Express Coverage of Taxonomy and Framework Rights
This assignment expressly includes any and all labels, names, titles, tags, categories, classes, taxonomies, frameworks, concepts, methods, schema, organizational structures, and classification systems that you coin, propose, define, refine, or contribute in connection with the Services, including any associated explanatory text, examples, logic, sequencing, hierarchy, and implementation guidance. To the fullest extent permitted by law, any goodwill or source-identifying significance arising from such contributed names or designations will inure exclusively to the benefit of Audacion AI Labs.
6.4 Waiver of Moral Rights
To the fullest extent permitted by applicable law, you irrevocably waive, and agree never to assert against Audacion AI Labs or its affiliates, any moral rights, droit moral, rights of attribution, rights of integrity, or similar non-economic rights in any Contribution.
6.5 Further Assurances
You agree to execute and deliver any additional documents and take any additional actions reasonably requested by Audacion AI Labs to confirm, perfect, register, maintain, enforce, or defend Audacion AI Labs' rights in any Contribution. If you fail to do so, you irrevocably appoint Audacion AI Labs as your attorney-in-fact, with full power of substitution, solely for the limited purpose of executing and filing such documents on your behalf.
6.6 No Retained Rights Except as Expressly Granted
You retain no ownership rights in any Contribution except to the extent Audacion AI Labs expressly agrees otherwise in a written agreement signed by an authorized representative of Audacion AI Labs. Any permission by Audacion AI Labs for you to view, reference, or use any Contribution will be by revocable license only and will not affect Audacion AI Labs' ownership.
6.7 Representations and Warranties
You represent and warrant that you have all rights, consents, and authority necessary to submit each Contribution and to grant the rights set forth in these Terms, and that your Contributions do not knowingly infringe, misappropriate, or otherwise violate any third-party rights.
6.8 Observational Content Clarification
For clarity, you may retain ownership of purely autobiographical narratives and factual descriptions of your own lived experiences that do not themselves contain newly proposed labels, taxonomies, frameworks, classifications, or other structured conceptual contributions. However, any new labels, names, categories, classifications, taxonomies, frameworks, concepts, methods, or organizational systems that you submit through the Services are Contributions owned exclusively by Audacion AI Labs under this Section.
7. PRISM Research Fellowship
The PRISM Research Fellowship is a four-tier recognition system for contributors who submit behavioral observations. The tiers are:

Expert Field Researcher (500 observations)

PRISM Research Fellow (1,000 observations)
Fellowship tiers are verified digital credentials that may be displayed on professional profiles. They represent recognition of your contribution to post-deployment AI safety research. Fellowship designations:

Do not constitute employment or an employer-employee relationship
-
Do not entitle the holder to compensation, benefits, or any payment
-
May be revoked if the associated account is terminated for violation of these Terms
-
Are non-transferable
-
Are subject to modification as the program evolves, with reasonable notice to participants
8. Intellectual Property
8.1 Audacion AI Labs Content
All content on the Website that is created, developed, or published by Audacion AI Labs, including but not limited to the PRISM Research Framework, research publications, the behavioral observation taxonomy, the Citizen Observation Taxonomy, website design, text, graphics, logos, trademarks, service marks, trade names, and software (collectively, "Audacion Content"), is the exclusive property of Audacion AI Labs or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Audacion Content except as follows:

Your device may temporarily store copies of materials in RAM incidental to your accessing and viewing those materials

You may store files that are automatically cached by your web browser for display enhancement purposes

You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial, educational, or research use, provided you retain all copyright and other proprietary notices

You may share links to Website content through social media or other channels, provided the content is attributed to Audacion AI Labs
8.2 Open Access Research
Certain research publications, datasets, and findings may be designated as open access under specific licenses (such as Creative Commons). Where open access designations are made, the applicable license terms will be clearly stated alongside the material. Unless explicitly designated as open access, all content is proprietary.
8.3 Trademarks
"Audacion AI Labs," "PRISM," "PRISM Research Framework," the Audacion AI Labs logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Audacion AI Labs or its affiliates. You may not use such marks without the prior written permission of Audacion AI Labs. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.
8.4 Copyright Infringement and DMCA
If you believe that any content on the Website infringes your copyright, please send a written notice to our designated Copyright Agent containing:

We may reference or cite AI systems, AI companies, research papers, and organizations in our research and publications. Such references are made for scientific and informational purposes and do not imply endorsement, affiliation, or partnership unless explicitly stated.
10. Privacy
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy includes provisions governing SMS/text messaging, cookies, and your rights under applicable privacy laws including the California Consumer Privacy Act (CCPA/CPRA). 11. Communications
11.1 Electronic Communications
By creating an account or providing your email address, you consent to receive electronic communications from us, including account confirmations, service updates, security alerts, research milestone notifications, and administrative messages. These communications are part of your relationship with us and you may not opt out of them while your account is active, except as required by law.
11.2 Marketing Communications
If you opt in to receive marketing communications, we may send you emails about research findings, new features, community milestones, events, and other updates. You may opt out of marketing communications at any time by clicking the "Unsubscribe" link in any marketing email or by updating your preferences in your account settings.
11.3 SMS/Text Messaging
If you provide your mobile phone number and opt in to receive text messages, you consent to receive SMS/text messages from Audacion AI Labs regarding research updates, fellowship progression, and community milestones. Full terms governing SMS/text messaging are set forth in Part II of our Privacy Policy (SMS/Text Messaging Policy). You may opt out at any time by replying STOP to any message.
12. Disclaimer of Warranties
THE SERVICES, INCLUDING ALL CONTENT, RESEARCH, PUBLICATIONS, TOOLS, FEATURES, AND MATERIALS AVAILABLE THROUGH THE WEBSITE, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUDACION AI LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Audacion AI Labs does not warrant or represent that:

13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUDACION AI LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT AUDACION AI LABS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF AUDACION AI LABS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO AUDACION AI LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Audacion AI Labs, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

15. Termination
15.1 Termination by You
You may terminate your account at any time by deleting your account through your Profile settings or by contacting us at [email protected]. Upon termination, your right to use the Services will immediately cease.
15.2 Termination by Us
We may suspend or terminate your account and access to the Services, in whole or in part, at any time and for any reason, including but not limited to:

Violation of these Terms or any applicable law

Conduct that we reasonably believe is harmful to other users, to Audacion AI Labs, or to the integrity of the research

Submission of fraudulent, fabricated, or manipulated data

Extended inactivity (more than two years with no login), with advance notice

15.3 Effect of Termination
Upon termination of your account, whether by you or by us:

Your right to access the Services will immediately cease

Your personal data will be deleted in accordance with our Privacy Policy

Previously submitted observations that have been de-identified and incorporated into research datasets will remain in those datasets unless you requested full removal prior to or at the time of termination

PRISM Research Fellowship designations associated with the terminated account will be revoked

Sections 5.2 (License to Use Submissions), 6 (Contributor IP Assignment), 8 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law and Dispute Resolution), and any other provisions that by their nature should survive, will survive termination
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
16.2 Jurisdiction
Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the County of Los Angeles. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
16.3 Informal Resolution
Before filing any formal legal action, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, either party may proceed to formal dispute resolution.
16.4 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AUDACION AI LABS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST AUDACION AI LABS.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through one or more of the following methods:

Displaying a prominent notice on the Website
Material changes will not take effect until at least thirty (30) days after the notice is provided, unless the change is required by law or relates to the addition of a new Service or feature, in which case the change may take effect immediately. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree with any modification, you must discontinue use of the Services and delete your account.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any other policies or guidelines referenced herein, constitute the entire agreement between you and Audacion AI Labs with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, or communications.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18.3 Waiver
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Audacion AI Labs to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Audacion AI Labs may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
18.5 Force Majeure
Audacion AI Labs shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, epidemic, government actions, fire, flood, earthquake, power failure, internet service provider failure, or labor disputes.
18.6 No Agency
Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and Audacion AI Labs. Neither party has the authority to bind or make commitments on behalf of the other.
